WTS advises hVIVO Group on the acquisition of two Clinical Research Units from CRS

Munich, January 30, 2025 - WTS, a global full-service provider of tax and financial & deal advisory services, has advised hVIVO Group, a global leader in clinical trials and laboratory services, on the acquisition of two research units of CRS Clinical Research Services Management GmbH (“CRS”) on financial and tax matters.

CRS is a Germany-based full-service CRO (“contact research organization”) for early-stage clinical development and has been part of hVIVO since the successful acquisition on January 29, 2025. hVIVO has acquired two Clinical Research Units (“CRUs”), which fit perfectly into the company's strategy. The services in the area of (early) clinical studies in the broad spectrum of all therapeutic areas will be further diversified and specialized. In particular, the acquisition will strengthen the company's position in the European and German markets.

WTS provided comprehensive tax and financial advice on the transaction.

The tax team led by Axel Wagner was responsible for carrying out the tax due diligence. It also provided tax advice on the acquisition structure and negotiated the tax clauses of the purchase agreement.

The WTS Advisory Deal team led by Dr. Rainer Doll provided advisory services in the area of financial due diligence and advised on the financial aspects of the purchase agreement.
